Most pages try to sell you Shams regardless of your situation. We’d rather you pick correctly the first time — restructuring later costs far more than choosing well now.

If you’re a freelancer or solo consultant

Shams is a strong fit.

You get a real trade licence (not just a freelance permit), a residence visa, an Emirates ID, and the ability to invoice clients anywhere in the UAE. You don’t need a physical office to get started, and you can hold the licence for multiple years upfront to lock in your cost.

Where people get caught out

The headline licence price is rarely the amount you actually pay. A licence alone doesn’t give you a visa. Adding your first visa brings in establishment card fees, an immigration file, medical testing, Emirates ID and visa stamping — and if you’re already inside the UAE, a status change on top. Ask for the all-in number before you commit, not the licence-only figure.

If you run an e-commerce or trading business

Shams works well, with one important caveat.

You get your import/export code on licence issuance, valid at every UAE port, and you can stack up to five activities on one licence — useful when you’re selling across several product categories or planning to expand into a related line.

The caveat nobody mentions

A free zone company cannot sell directly to end customers in the UAE mainland market without going through a mainland distributor, appointing an agent, or setting up a mainland branch. If your entire business plan is domestic retail, a mainland licence may serve you better — and we’ll tell you that on the call rather than after you’ve paid. Also worth knowing: Shams is not a warehousing or industrial free zone — for significant storage or light manufacturing, look at SAIF Zone or Hamriyah instead.

If you’re an agency or media company

This is Shams’ home turf.

It was purpose-built for media, marketing, production, publishing and creative services, and that heritage still shows in how quickly media activities are approved. The visa quota scales to 50 as you take on facility space, and Shams permits registration as an LLC without the "FZ" designation — a cleaner, more mainland-like company name on client contracts and pitches.

For agencies bidding against mainland competitors, that naming detail is worth more than it sounds — it removes an easy objection before it’s even raised.

Documents You’ll Need

Overseas documents generally require notarisation, attestation and, where applicable, legalisation and Arabic translation — this is the step that most often delays overseas founders, so start it early.

Visas: How the Quota Actually Works

Your visa allocation is not a flat number. It’s determined by your business activity and the facility package you hold. A basic licence without a facility supports a small allocation; taking a flexi-desk or serviced office increases it, up to the 50-visa ceiling.

What this means practically

Don’t buy the cheapest possible package if you know you’ll be hiring within the year. Upgrading later is possible, but costs more than choosing correctly at the start.

Dependents

Once you hold a residence visa, you can sponsor your spouse and children, subject to salary and accommodation requirements. Each dependent visa carries its own full cost stack — factor them into your budget from the beginning.

Renewal

Residence visas issued through free zones are typically valid for two years and renewable. Set a reminder well before expiry — overstay fines accrue daily.

Banking

Opening a Bank Account: The Honest Version

Corporate bank accounts in the UAE are not guaranteed. Banks apply their own compliance criteria and reject applications regularly — particularly from companies with no visa holders, no UAE-resident signatory, vague business activities, or high-risk jurisdictions in the ownership chain. This is the part of company formation that causes the most frustration, and the part most setup pages skip past in two sentences.

Tax and Compliance in 2026

Free zone does not mean tax-free. Here’s the current position.

Corporate tax

The UAE applies 9% corporate tax on taxable profit above AED 375,000. A Shams company may qualify for 0% on qualifying income as a Qualifying Free Zone Person — but that status isn’t automatic. You must maintain adequate substance in the free zone, earn income from qualifying activities, stay within the de minimis threshold for non-qualifying revenue, keep audited financial statements, and comply with transfer pricing rules. Lose the status and you’re taxed at the standard rate. Every company must register regardless of profit level or QFZP status — late registration carries penalties.

VAT

5%. Registration is mandatory once your taxable supplies exceed AED 375,000 in a 12-month period, and voluntary from AED 187,500.

Accounting records

You’re required to maintain proper books. QFZP status specifically requires audited financial statements — so if 0% treatment matters to you, budget for an audit from year one.

Economic substance & UBO

Depending on your activity, you may have Economic Substance Regulations obligations, and all companies must maintain accurate Ultimate Beneficial Owner records.
