What Does Liquidating a License Actually Involve?

A UAE trade license doesn’t simply expire when a business stops trading — it has to be formally closed. Liquidation is the legal process that gets you there: a licensed liquidator (in most cases) confirms the company has no outstanding debts, employees and visas are settled, government authorities issue their clearances, and only then does the Department of Economic Development or your free zone authority cancel the license and issue a closure certificate.

Skipping or rushing this process is one of the more expensive mistakes a business owner can make in the UAE. A trade license left unrenewed keeps accruing fines against the company, and unresolved obligations can follow the shareholders personally — including a travel ban or a block on registering a new company in the country. Shareholder Resolution

The process begins with a formal resolution from the shareholders or board approving the closure, notarised and attested where required. This document is the legal starting point every authority will ask for.

Appoint a Licensed Liquidator

Most LLCs and free zone companies must appoint a registered liquidator to audit the company’s financial position, confirm there are no outstanding liabilities, and issue the final liquidation report.

Notify the Authority & Publish the Notice

The DED or free zone authority updates your license to "Under Liquidation" status, and a liquidation notice is published in local newspapers or the free zone gazette, opening a window for creditors to submit claims.

Settle Employees & Cancel Visas

Outstanding salaries, gratuity, leave encashment, and repatriation tickets must be settled, and employee visas and labour cards cancelled through MOHRE and GDRFA before the file can proceed.

Clear Corporate Tax & FTA Obligations

Your Corporate Tax and VAT registration (where applicable) must be deregistered with the Federal Tax Authority. Since UAE Corporate Tax came into effect, skipping this step is one of the most common reasons closures get held up.

Collect Clearance Certificates

No-objection certificates are gathered from your bank, utility providers, telecom, customs (if applicable), and your free zone landlord or facilities team, confirming there are no dues left behind.

Final Report & License Surrender

The liquidator’s final report, all NOCs, and the original trade license and establishment card are submitted to the authority. Once approved, you receive the official cancellation certificate — your company’s clean exit.

Know The Difference

Mainland vs. Free Zone Liquidation

The core steps are similar, but the authority, paperwork, and timelines differ.

Mainland (DED) Liquidation

  • Handled through the Department of Economy and Tourism (DET/DED).
  • A registered liquidator is required for almost all LLCs.
  • Liquidation notice is published in two local Arabic newspapers, opening a creditor claims window.
  • Involves broader coordination across DED, MOHRE, GDRFA, and the FTA.

Free Zone Liquidation

  • Handled directly through the free zone authority (IFZA, RAKEZ, JAFZA, DMCC, and others).
  • Notice period is usually shorter — commonly 14 to 45 days depending on the zone.
  • The physical original license and establishment card must be surrendered.
  • An NOC from your free zone landlord or facilities team is required alongside the standard clearances.
